1. Introduction

Welcome to Amarembo, a dynamic and forward-thinking newspaper publishing organization based in Kigali, Rwanda. Our mission is to amplify the voices of everyday citizens by highlighting social issues, policy gaps, and grassroots solutions that matter most to Rwandans. These Terms and Conditions (“Terms”) govern your access to and use of the Amarembo website (www.amarebe.rw) and its associated services, content, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Acceptance of Terms

By accessing and using the Amarembo website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service. Your continued use of the Service after any modifications to these Terms signifies your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

3. Changes to Terms

Amarembo reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 5. User Conduct and Content

Amarembo encourages open dialogue and community engagement. However, to maintain a safe and respectful environment, all users must adhere to the following conduct and content guidelines:

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Service.

5.2 User-Generated Content

Users may have the opportunity to submit comments, articles, or other content (“User Content”) to the Service. By submitting User Content, you grant Amarembo a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Amarembo’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. You also grant each user of the Service a non-exclusive license to access your User Content through the Service, and to use, reproduce, distribute, display, and perform such User Content as permitted through the functionality of the Service and under these Terms.

5.3 Content Standards

You agree not to submit any User Content that:

  • Is defamatory, abusive, harassing, threatening, or an invasion of a right of privacy of another person;
  • Is bigoted, hateful, or racially or otherwise offensive;
  • Is violent, vulgar, obscene, pornographic, or otherwise sexually explicit;
  • Is illegal or encourages illegal activity;
  • Infringes or violates any intellectual property rights (including copyright and trademark) or any other proprietary rights of any third party;
  • Violates any applicable local, national, or international law or regulation;
  • Contains any advertising or promotional material, or any form of commercial solicitation;
  • Contains viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment

Amarembo reserves the right, but not the obligation, to remove or edit any User Content that violates these Terms or is otherwise objectionable, in its sole discretion. We also reserve the right to terminate your access to the Service for violating these provisions.

5.4 Reporting Violations

If you believe that any User Content violates these Terms, please contact us immediately at advocacy@amarebe.rw. We will investigate all complaints and take appropriate action as deemed necessary.

6. Intellectual Property

All content on the Amarembo website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Amarembo or its content suppliers and is protected by Rwandan and international copyright laws. The compilation of all content on this site is the exclusive property of Amarembo and protected by Rwandan and international copyright laws.

You may not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit for any commercial purpose any portion of the Service without express written consent of Amarembo. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Amarembo without express written consent. You may not use any meta tags or any other “hidden text” utilizing Amarembo’s name or trademarks without the express written consent of Amarembo. Any unauthorized use terminates the permission or license granted by Amarembo.

 

Amarembo’s trademarks and trade dress may not be used in connection with any product or service that is not Amarembo’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Amarembo.

7. Disclaimers

The Service and all information, content, materials, products (including software) and other services included on or otherwise made available to you through the Service are provided by Amarembo on an “as is” and “as available” basis, unless otherwise specified in writing. Amarembo makes no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, materials, products (including software) or other services included on or otherwise made available to you through the Service, unless otherwise specified in writing. To the full extent permissible by applicable law, Amarembo disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Amarembo does not warrant that the Service, information, content, materials, products (including software) or other services included on or otherwise made available to you through the Service, Amarembo’s servers, or electronic communications sent from Amarembo are free of viruses or other harmful components. Amarembo will not be liable for any damages of any kind arising from the use of any Service, or from any information, content, materials, products (including software) or other services included on or otherwise made available to you through any Service, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.

8. Limitation of Liability

In no event shall Amarembo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

You agree to defend, indemnify and hold harmless Amarembo and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Amarembo. Amarembo has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Amarembo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the Kigali International Arbitration Centre (KIAC). The language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding upon both parties.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Miscellaneous

13.1 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

13.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Amarembo’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3 Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any third party at our sole discretion.
